Tutkin tässä pro gradu –tutkielmassa miten yrityskaupan jälkeinen integraatio voi vaikuttaa yrityskaupan tavoitteiden saavuttamiseen. Teoreettisena perspektiivinä tässä tutkimuksessa on niin kutsuttu prosessi perspektiivi, joka korostaa oikein johdetun integraatioprosessin merkitystä onnistuneen yrityskaupan kannalta. Tämän lisäksi esittelen, minkälaisia integraatiovaiheen sudenkuoppia ja hyviä käytäntöjä aiempi akateeminen tutkimus ja kirjallisuus on tunnistanut. Teoreettisen viitekehyksen pohjalta rakennan tapaustutkimukseni, jossa tutkin suuren japanilaisen yrityksen Suomessa tekemää yrityskauppaa ja siihen liittyvää integraatiota. Keräsin aineistoni pääsääntöisesti haastattelemalla henkilöitä, jotka ovat olleet keskeisessä asemassa tämän yrityskaupan integraatiovaiheessa. Haastattelujen lisäksi keräsin osan aineistostani vanhoista integraatiovaiheeseen liittyvistä dokumenteista. Tämä tutkimus osoittaa, että hyvin johdettu integraatio edesauttaa yrityskaupan tavoitteiden saavuttamista ja luotsaa ostajaa kohti tavoitteitansa, mutta se ei ole itsessään kaikkivoipa työkalu tavoitteiden saavuttamisen saralla. Business acquisitions have become increasingly popular way to pursue growth and other strategic goals. However, the growth and other possible acquisition goal achievement requires more than just nominal change of ownership. Acquisitions usually require aftercare and in order to unleash all the potential of the acquisition, properly managed post-acquisition integration is needed. In this master’s thesis, I study how post-acquisition integration can affect acquisition goal achievement. The theoretical perspective for this study is so called Process Perspective, which underlines that properly managed integration process can enable successful business acquisition. Besides this, I highlight integration practices and pitfalls from the former academic literature and studies that are recognized as desirable or avoidable. The theory is applied to a case study where big Japanese corporation bought smaller Finnish organization some years ago and integrated it. The data is gathered mainly by interviewing representatives that have been involved in integration processes as managers, and this data is supported by old integration documents. This study indicates that well managed integration definitely enables acquisition goal achievement and guides the organization towards its targets, but still it is not all-powerful tool in acquisition goal achievement.
